In these Terms and Conditions, the following definitions apply:
"Company", "We", "Us", "Our" refers to UK Connect Solutions Ltd, Company No. 16722697.
"Customer", "You", "Your" refers to any individual or organisation accessing or using our services.
"Services" refers to all products and services offered by UK Connect Solutions Ltd including but not limited to NexaVPN, NexaCloud VPS, hardware products, leasing services, dedicated servers and any associated software or platforms.
"Portal" refers to the customer portal accessible at ukcs.cloud/portal.
"Agreement" refers to these Terms and Conditions together with any applicable Order Confirmation, Service Level Agreement or additional terms.
By registering an account, placing an order or using any of our services, you confirm that you have read, understood and agree to be bound by these Terms and Conditions.
If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind that entity.
We reserve the right to update these Terms at any time. Continued use of our services following notification of changes constitutes your acceptance of the revised Terms.
NexaVPN is a WireGuard-based VPN service provided on a subscription basis.
You may use NexaVPN for lawful purposes only. You must not use NexaVPN to engage in any illegal activity, circumvent geographic restrictions for unlawful purposes, or violate the rights of third parties.
VPN subscriptions are provided on a monthly or annual basis. Cancellation terminates access at the end of the current billing period.
NexaCloud provides virtual private server (VPS) hosting services powered by Proxmox virtualisation.
You are responsible for all software, data and content hosted on your VPS. You must not use VPS services to host illegal content, conduct denial of service attacks, distribute malware or engage in any other prohibited activity.
We provide the infrastructure only. You are solely responsible for the security, maintenance and backup of your VPS environment.
We reserve the right to suspend or terminate VPS services immediately in the event of abuse, non-payment or breach of these Terms.
We supply push-to-talk radios, body cameras, connectivity equipment and related hardware for sale or lease.
Lease agreements are governed by separate lease documentation provided at the time of order and are subject to credit approval.
Risk in goods passes to the Customer upon delivery. Title to goods passes upon receipt of full payment.
Dedicated server services are provided subject to availability and require manual provisioning with a delivery time of 1-2 business days following confirmation of payment.
Dedicated servers are provided on a monthly subscription basis. Cancellation must be made with a minimum of 30 days notice prior to the renewal date.
All prices are displayed in British Pounds Sterling (GBP) and are exclusive of VAT unless otherwise stated. VAT will be charged at the applicable UK rate.
Subscription services are billed in advance on a monthly or annual basis. Payment is due on the date of subscription renewal.
We accept payment by credit and debit card (via Stripe), Bitcoin (BTC) and USDT TRC20 cryptocurrency.
Cryptocurrency payments provide 30 days of access per payment. Crypto payments are non-refundable once confirmed on the blockchain.
In the event of failed payment, we reserve the right to suspend services until payment is received.
We offer a free trial period on selected subscription services as advertised. No payment is required during the free trial period. You may cancel at any time during the trial without charge.
All sales are final. Refunds are issued at our sole discretion and only in exceptional circumstances.
You agree not to use our services to:
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately of any unauthorised use of your account or any other security breach.
You must provide accurate and complete information when registering an account and keep this information up to date.
We reserve the right to suspend or terminate accounts that we reasonably believe are being used in breach of these Terms.
Accounts are personal and may not be transferred or shared with third parties without our express written consent.
We collect and process personal data in accordance with our Privacy Policy, available at ukcs.cloud/privacy.
We are committed to protecting your personal data and comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
By using our services, you consent to the collection and processing of your personal data as described in our Privacy Policy.
We do not sell your personal data to third parties. We may share data with trusted service providers where necessary for the delivery of our services.
We aim to provide 99.9% uptime for our hosted services. However, we do not guarantee uninterrupted or error-free access to our services.
Scheduled maintenance will be communicated in advance where reasonably practicable. Emergency maintenance may be performed without prior notice.
We shall not be liable for any downtime, loss of data or service interruption caused by circumstances beyond our reasonable control including network outages, hardware failures, natural disasters, acts of government or cyber attacks.
Our services are provided on an "as is" and "as available" basis without warranty of any kind.
All intellectual property rights in our website, services, software, branding and content are owned by or licensed to UK Connect Solutions Ltd.
You are granted a limited, non-exclusive, non-transferable licence to use our services for their intended purpose in accordance with these Terms.
You must not reproduce, distribute, modify or create derivative works of our intellectual property without our express written consent.
You retain ownership of any content you upload to our services. By uploading content, you grant us a non-exclusive licence to process and store that content solely for the purpose of providing the services.
To the fullest extent permitted by applicable law, UK Connect Solutions Ltd shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill or business opportunities.
Our total aggregate liability to you shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.
Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
You may cancel your subscription at any time through the customer portal or by contacting us. Cancellation will take effect at the end of the current billing period.
We reserve the right to suspend or terminate your access to our services immediately and without notice if you breach these Terms or if we have reasonable grounds to believe that continued provision of services may cause harm.
Upon termination, your right to use the services will cease immediately. We may delete your account data after a period of 30 days following termination.
Termination does not affect any accrued rights or liabilities of either party.
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
In the event of a dispute, we encourage you to contact us in the first instance to seek an amicable resolution before commencing any legal proceedings.
Entire Agreement: These Terms, together with our Privacy Policy and any applicable Order Confirmation, constitute the entire agreement between you and us in relation to your use of our services.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations at any time.
Force Majeure: We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control.
